Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website at astrialearning.com (the “Website”), the eCampus platforms we operate, and the messaging channels we provide. By using any of these, you agree to these Terms. If you do not agree, do not use them.

1. Who we are and what these Terms cover

The Website and services described here are provided by eCampus Inc., doing business as Astria Learning (“Astria,” “we,” “us,” or “our”), located at 5401 W. Kennedy Blvd. Suite 100, Tampa, FL 33609, United States.

These Terms cover three things: our Website, the eCampus platforms we build and operate for our partner universities (the “Platform,” which can include the learning management system, campus management system, digital library, and related tools), and the channels we use to communicate with you, including WhatsApp, SMS, and email (the “Messaging Channels”). We refer to all of these together as the “Services.”

If you are an applicant or student of one of our partner universities, you access the Platform through that university, and your relationship with the university is governed by your agreement with it. These Terms govern your use of our Website, Platform, and Messaging Channels. Where these Terms conflict with your university agreement on academic matters, the university agreement controls.

2. Acceptance of these Terms

By browsing the Website, registering for an account, enrolling in a program, submitting content, or contacting us through a Messaging Channel, you accept these Terms. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. You confirm that you are not located in, and are not a national of, a country subject to trade sanctions that would prohibit your use, and that you are not on any restricted-party list under applicable law.

4. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above when we do. For significant changes, we will take reasonable steps to notify you. Your continued use of the Services after a change takes effect means you accept the revised Terms.

5. Accounts and registration

Some parts of the Services require an account. You agree to provide accurate information, keep it current, and keep your login credentials confidential. You are responsible for activity that happens under your account. Tell us promptly if you believe your account has been used without your permission.

6. Acceptable use

When you use the Services, you agree not to:

  • break any law or infringe anyone’s rights, including intellectual property and privacy rights
  • access, tamper with, or disrupt any part of the Services, servers, or networks, or try to get around security or access controls
  • upload or transmit malware, or use the Services to send spam or unsolicited messages
  • copy, scrape, harvest, or collect data from the Services except as we expressly allow
  • impersonate anyone or misrepresent your affiliation with any person or institution
  • use the Services to harass, abuse, or harm others, or to post unlawful, defamatory, or obscene content
  • use automated systems to access the Services in a way that burdens our infrastructure
  • resell, sublicense, or commercially exploit the Services without our written permission

We may investigate and take action, including suspending or removing access, if we believe you have broken these rules.

7. Messaging channels

We use WhatsApp, SMS, and email to support applicants and students. We message you only after you opt in or contact us first. Message frequency varies, and standard message and data rates from your carrier may apply. You can stop receiving messages at any time by replying STOP, or HELP for assistance, or by contacting us. We use these channels only to support you and to send updates that relate to your inquiry, application, or enrollment. We do not use them for advertising and we do not sell your information. Our handling of the information you send us is described in our Privacy Policy.

8. User content

You keep ownership of the content you submit to us. For feedback, questions, suggestions, and similar material you send us, you grant us a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and adapt it so we can operate and improve the Services. This license does not apply to your academic work or coursework on a university Platform, which remains yours and is governed by your agreement with the relevant university.

You confirm that the content you submit is yours to share and does not infringe anyone’s rights. You are responsible for your content. We may remove content that breaks these Terms or the law.

9. Intellectual property

The Website and Platform, including their software, design, text, graphics, logos, and trademarks, are owned by or licensed to Astria and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended educational and institutional purposes. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Services without our written consent, except where the law allows it.

Course materials and academic content provided by a partner university belong to that university or its licensors, not to Astria.

10. Copyright complaints

If you believe content on the Services infringes your copyright, send us a notice at the contact details below with enough detail to identify the work, the material you say is infringing and where it is, your contact information, and a statement that you have a good-faith belief the use is not authorized. We will respond to valid notices and may remove the material.

11. Third-party and university content and links

The Services may include content from partner universities and links to third-party websites and services we do not control. We are not responsible for that content or those sites, and a link is not an endorsement. Your use of a third-party service is governed by its own terms.

12. Fees and payments

Most tuition and program fees are set and collected by the partner university, not by Astria, and are governed by your agreement with the university.

Tuition is non-refundable, except where you qualify for a refund under the refund policy of the partner university you are enrolled with. Any tuition refund is determined and issued by the university under its own policy and timelines, not by Astria. We do not issue tuition refunds directly. If you have a question about a tuition refund, contact your university.

Where we charge you directly for a product or service that is not tuition, we will tell you the price and payment terms before you buy. Those fees are non-refundable except as required by law or as stated at the time of purchase.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Services, you agree to that policy.

14. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the extent the law allows. We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee any particular educational or career outcome from using the Services. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

15. Limitation of liability

To the extent the law allows, Astria and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from or related to your use of the Services. To the extent the law allows, our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars. Some jurisdictions do not allow these limits, so they may not fully apply to you.

16. Indemnification

You agree to indemnify and hold harmless Astria and its officers, employees, and partners from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your use of the Services, your content, or your breach of these Terms or of any law or third-party right.

17. Termination

We may suspend or end your access to the Services at any time if you break these Terms, if we are required to by law, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

18. Export controls and sanctions

You agree to comply with all applicable export control and sanctions laws and not to use the Services in violation of them.

19. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Subject to any mandatory consumer protections in your country of residence, you agree that any dispute relating to the Services will be resolved in the state or federal courts located in Hillsborough County, Florida, and you consent to the jurisdiction of those courts. Nothing here prevents either party from seeking injunctive relief to protect intellectual property or confidential information.

20. Severability

If any provision of these Terms is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of the Terms will stay in effect.

21. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

22. Entire agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and Astria regarding the Services and replace any prior agreements on that subject.
